Terms of Service
These Terms are the agreement between you and Ascennity Private Limited (“we”, “us”) for Basefile, the client feedback and approval tool at basefile.io and app.basefile.io.
By creating an account, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Basefile.
Our registered office is at SY 11 We Work, Krishe Emerald, Whitefield, Madhapur, Shaikpet, Hyderabad- 500081, Telangana, India.
The service
Basefile lets a freelancer or small business get their clients’ feedback and approval on their work. Each project holds files — images, PDFs, design files, videos, and websites captured from their address — with notes, versions, approvals, and automatic updates. Clients open what’s shared with them through a private link or an email, without an account; these Terms call what they see the shared pages.
A Basefile account is for one person, or, on the Studio plan, for a team of up to five: the person who created the account (the owner) and the teammates they invite by email. You may invite your client’s people to a project or a file by email, or give them its link; they do not need a Basefile account.
We may change features, limits, and these Terms. If a change is material, we will say so on this page and, where we can, by email.
Accounts
You must be 18 or over. You must give a real email address you control, confirm it, and keep your password to yourself.
You are responsible for everyone you invite to the shared pages, for the email addresses you send magic links to, and for where you share a project’s or a file’s link: anyone who has it can open that project or file until you switch the link off or replace it. Invite people, or share a link, only when they should see that work.
On Studio, the owner is responsible for the account and for everyone they add to the team, and each teammate must follow these Terms too. Teammates work with the account’s projects and files. Only the owner buys, changes, or cancels a plan, manages the team, changes the studio’s settings, downloads the workspace, or closes the account. What a teammate adds belongs to the account and stays when they leave the team.
If we reasonably believe an account is compromised, abusive, or unlawful, we may suspend or close it.
Your content
You (and your clients) keep whatever rights you already have in the files, text, logos, and other material you put in Basefile (“your content”).
You grant us a license to host, display, send, and back up that content only as needed to provide Basefile — including emailing a client a link, showing a file on the shared pages, making pictures of a PDF’s or a design file’s pages and a copy of a video that plays in any browser, capturing a website from the address you give, and making an approval record.
You warrant that you have the right to upload your content, to capture the websites you add, and to share them with the people you invite. You must not upload malware, illegal material, or content that infringes someone else’s rights.
We do not claim ownership of your content. We may remove content or suspend access if we believe it breaks these Terms or the law. To report abuse, write to support@basefile.io.
When you close your account from Settings, we delete your content 14 days later — you can sign in before then to keep it — and our backups expire within 14 days after that. We keep something longer only where security, accounting, or the law requires it.
What Basefile is not
- Not an invoicing or payment tool. Basefile doesn’t send invoices, and your client pays you outside Basefile, the way you already work. We do not take payments for you, hold funds, or reconcile your books.
- Not an electronic signature product. You can ask a client to approve a file or ask for changes. We record who answered, when, which version, and any note they added. That is not a legally binding e-signature, and we do not create the document.
- Not a substitute for your own contracts with your clients.
Plans and fees
The Free plan includes every feature, with limits: one active project at a time, 2 GB of storage, and 100 MB per file. A project that’s completed or archived doesn’t count toward the first. These are totals for your account, not monthly. Plus and Studio raise them, as described on our pricing page.
Plus is $19 a month and Studio is $49 a month, in US dollars. Studio adds teammates: up to five people on one account. If your Plus subscription started at $12 a month, it stays at $12 for as long as it continues on Plus; if it ends or moves to Studio, the price at that time applies. Prices don’t include sales tax, VAT, or GST; where it applies, it’s added at checkout. Storage and file-size limits apply to every plan.
Buying Plus or Studio
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. When you buy a plan, Paddle takes the payment, collects any sales tax, sends your receipts, and issues refunds. Charges show on your card statement as PADDLE.NET* BASEFILE. Your purchase is also covered by Paddle’s Buyer Terms. These Terms still cover how you use Basefile.
Your plan renews automatically every month until you cancel. Each renewal is charged to the payment method you used at checkout.
You can move between Plus and Studio from Settings. Moving to Studio charges the difference for the rest of the month straight away. Moving to Plus credits what’s left of the month against your next charges. While the account isn’t on Studio, teammates can’t sign in; nothing they added is deleted, and they can sign in again once the account is back on Studio.
You can stop using Basefile at any time. You can cancel your plan whenever you like, from Settings or by emailing us. Cancelling stops the next charge, and you keep your plan until the end of the month you have paid for. Then your account moves to the Free plan, with everything you’ve added.
If a renewal payment fails, Paddle emails you and tries again. If it still can’t be collected, your plan ends and your account moves to the Free plan.
You can ask for a refund within 14 days of any charge, as set out in our Refund Policy. Outside that window, we do not refund or prorate unused time unless the law requires it.
We may change our prices. Before a new price applies to your subscription, we will email you at least 30 days ahead, so you can cancel first if you want to.
Acceptable use
You must not:
- Probe, scan, or disrupt the service, or bypass rate limits or access controls
- Share a magic link, a project’s or a file’s link, a team invitation, or access to the shared pages with someone who should not have it, or harvest other people’s data
- Send spam through Basefile, or use it to phish
- Upload viruses or try to break in
- Reverse engineer the product except where the law allows
- Use Basefile if you are barred from doing so by law
We may rate-limit requests, and refuse or revoke magic links and project and file links.
Emails
We email account holders, their teammates, and client contacts when the product needs to — confirmations, magic links, team invitations, notifications, and optional recaps. We also remind a client about files waiting for their answer: on the schedule the account holder chooses in Settings, three times at most for each thing, and when the account holder sends a nudge, once a day at most. Client contacts can choose to hear only when something needs them. Someone who came in by a project’s or a file’s link and gave only a name gets no email. If an address bounces or is marked as spam, we may stop mailing it.
Account owners also get a few emails about getting started: a welcome, and a note after their first share with a client and their first approval. Now and then we send a tip, or check in if they’ve been away a while. Those tips and check-ins can be turned off in Settings, or with the link in each one, and turning them off doesn’t change any other email.
Availability
We aim to keep Basefile available, but we do not promise uninterrupted service. Files are stored with our providers. You should keep your own copies of anything important. You can download a copy of your whole workspace from Settings at any time.
Disclaimer
Basefile is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free or that files will never be lost.
If you’re a consumer under the law where you live — for example, the Australian Consumer Law — you have rights these Terms can’t exclude, and nothing in them does.
Liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption.
Our total liability for any claim relating to Basefile is limited to the greater of (a) the amount you paid for Basefile in the 12 months before the claim, and (b) US $100.
Nothing in these Terms limits liability that the law does not allow us to limit, including for fraud or for death or personal injury caused by negligence, where that rule applies.
Indemnity
You will indemnify us against claims, damages, and costs (including reasonable legal fees) that arise from your content, your use of Basefile, or your breach of these Terms — including a claim that you did not have the right to share a client’s files or personal data.
Governing law
These Terms are governed by the laws of India. The courts in Hyderabad, Telangana, India have exclusive jurisdiction. This doesn’t take away the protection of mandatory consumer laws where you live.
